These Terms of Service ("Terms") govern your access to and use of Saspacity's website, mobile app, products, and services ("Products"). By accessing or using our platform, you agree to be bound by these Terms and by our Privacy policy.

Who can use Saspacity?

You may use our Platform only if you can form a binding contract with Saspacity, and only in compliance with these Terms and all applicable laws. When you create your Saspacity account, you must provide us with accurate and complete information. Any use or access by anyone under the age of 18 is prohibited. If you open an account on behalf of a company, organization, or other entity, then (a) "you" includes you and that entity, and (b) you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and bind the entity to these Terms, and that you agree to these Terms on the entity's behalf. Some of our Products and Services may be software that is downloaded to your computer, phone, tablet, or other device. You agree that we may automatically upgrade those Products and Services, and these Terms will apply to such upgrades.

Commercial use of Saspacity

If you want to use our Platform for commercial purposes you must create a business account, MUST BE AT LEAST 18 YEARS OF AGE and agree to our Terms of Use and Privacy policy.

Disclaimers

You are expected to pay for all appointments after they have confirmed the slot and before the service is carried out. Should you fail to pay within 24 hours after approval, the slot will be cancelled to give a chance to someone else.

No warranty

Saspacity does not have control over the quality, suitability, reliability, timing, durability, legality, failure to provide, or any other aspect whatsoever of any Styling, Styles or Services and Products provided by Professionals nor of the integrity, responsibility or any of the actions or omissions whatsoever of any Professionals or Clients. Saspacity makes no representations or warranties whatsoever with respect to Services offered or provided by Professionals or requested by Clients through use of the Services, whether in public, private, or offline interactions, or about the accreditation, registration or licensing of any Professional.

Verification of businesses

Notwithstanding the foregoing, Saspacity may, but is not obligated to, check the background and experience of Professionals via third-party background check services and first party interviews, including but not limited to a verification of identity and a comprehensive criminal background check and may terminate a Professional based on any information discovered during such background checks and first party interviews.

Responsibility

Each Professional, as a separate entity from Saspacity, is solely responsible for all customer service issues relating to such Professional's products or services, including without limitation, any Styling Services, pricing, order fulfillment, order or appointment cancellation, adjustments, rebates, functionality and warranty, and feedback concerning experiences with such Professional, any personnel, their policies or processes. In performing customer service, Professionals must present themselves as a separate entity from Saspacity. As between Professionals and Saspacity, Saspacity is solely responsible for customer service issues relating to any Account, payment, Card processing, debiting or crediting. Refunds and Returns.

Taxes

Users of the Service will be liable for any taxes (including VAT, if applicable, required to be paid on the Services provided under the Agreement (other than taxes on the Company's income)

As a Company

Closure

We reserve the right to modify, update, or discontinue the Site at Our sole discretion, at any time, for any or no reason, and without notice or liability.

Unauthorized use

We reserve the right to exercise whatever lawful means We deem necessary in order to prevent unauthorized access to or use of the Site, including, but not limited to, technological barriers, IP mapping and contacting Your Internet Service Provider (ISP) regarding such unauthorized use.

Site Content

We are under no obligation to monitor the Site or Site Content. However, We reserve the right to investigate possible violations of the User Agreement, block Users from the Site, and refer matters to law enforcement authorities for further investigation. We may disclose information to third parties, including Your Content, in accordance with the Privacy Policy.

Business Accounts

Account

By creating an Account as a Professional, you certify that you are, or if you are a salon, merchant or other business entity, all of your employees, independent contractors or agents who are providing the Styling Services each are, a licensed professional and that your business information is correctly represented on Saspacity. You further certify that you are duly licensed to provide Salon Services "in-home" or otherwise outside your place of business should you advertise such Styling Services on Saspacity. Saspacity reserves the right to remove or hide any incorrect, out of date, or illegal information from profiles, as well as remove or hide the entire profile itself.

Provision of services

Saspacity solely provides a platform to connect professionals and clients and serves only as a intermediate to facilitate the provision of Beauty/Wellness Services. Saspacity does not provide or contract for the supply or purchase of Beauty/Wellness Services. Professionals and clients negotiate and contract independently for the provision of Beauty/Wellness Services. Each Client is solely responsible for selecting the professional, the Beauty/Wellness Services to be provided and the location at which these services will be performed. Any decision by a client to receive Beauty/Wellness Services or by a Professional to provide Beauty/Wellness Services is a decision made in such user’s sole discretion.

Arbitration

For any dispute you have with any business on our platform or Saspacity, you agree to first contact us and attempt to resolve the dispute with us informally. If Saspacity has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy at the next level.

General Terms

Notifications

Saspacity reserves the right to determine the form and means of providing notifications to you, and you agree to receive legal notices electronically if we so choose. We may revise these Terms from time to time and the most current version will always be posted on our website. If a revision, in our sole discretion, is material we will notify you. By continuing to access or use the Products after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Platform.

Posting your content

Saspacity allows you to post content, including photos, reviews, comments and other materials. Anything that you post or otherwise make available on our Platform is referred to as "User Content." You retain all rights in, and are solely responsible for, the User Content you post to Saspacity.

How Saspacity uses your content

You grant Saspacity a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, save, modify, create derivative works, perform, and distribute your User Content on Saspacity solely for the purposes of operating, developing, providing, and using the Saspacity Products and Services. Nothing in these Terms shall restrict other legal rights Saspacity may have to User Content, for example under other licenses. We reserve the right to remove or modify User Content for any reason, including User Content that we believe violates these Terms or our policies.

Saspacity solely provides a platform for Professionals and Clients to connect and serves only as a medium to facilitate the provision of Products and Services. Saspacity does not provide or contract for Styling Services, and Professionals and Clients contract independently for the provision of Styling Services. Each Client is solely responsible for selecting the Professional, the Styling Services to be provided and the location at which Styling Services will be performed, whether on the premises of a Professional or at a site designated by the Client. Any decision by a Client to receive Styling Services or by a Professional to provide Styling Services is a decision made in such person's sole discretion and at their own risk.

Security

Compromise

We care about the security of our users. While we work to protect the security of your content and account, Saspacity cannot guarantee that unauthorized third parties will not be able to defeat our security measures. We ask that you keep your password secure and strong. Please notify us immediately of any compromise or unauthorized use of your account.

Indemnity

If you use our Platform for commercial purposes without agreeing to our Business Terms as required by above, as determined in our sole and absolute discretion, you agree to indemnify and hold harmless Saspacity and its respective officers, directors, employees and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees (including costs of defense of claims, suits or proceedings brought by third parties), in any way related to (a) your access to or use of our Platform, (b) your User Content, or (c) your breach of any of these Terms.

NEITHER COMPANY (Saspacity Limited) NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES AND YOU HEREBY RELEASE THE COMPANY AND ITS AFFILIATES OR LICENSORS FROM ANY LIABILITY RELATED THERETO. COMPANY AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICES.
